1. Who We Are
Polyvalent develops immersive and interactive digital solutions for professional training, visualization, and communication. Our core areas include:
- XR, VR & AR simulators for training, evaluation, sales, and cost estimation
- 3D visualization, configurators, and interactive virtual showrooms
- End-to-end e-learning development and automation
- Automation systems for scalable content production, integration, and delivery
- Custom B2B visualization tools for marketing, training, and real-time simulation
We serve enterprises, educational institutions, and public organizations worldwide, combining technology, design, and automation for efficient digital transformation.
2. Scope of Services
Our services are customized to each client's needs. Project details, deliverables, timelines, and pricing will be defined in a written proposal or contract. We reserve the right to refuse or terminate services if:
- The requested work violates any laws or ethical standards
- Payment terms are not respected
- The scope of work changes significantly without mutual agreement
2.1 Digital Deliverables & Automation Systems
Some of our services include the delivery of automated systems, scripts, or templates for generating visual or learning content. Unless otherwise stated, these are provided under a non-exclusive license for internal business use only. Modifications, redistribution, or resale of automated workflows, scripts, or templates require prior written consent from Polyvalent.
3. Proposals & Pricing
All proposals are valid for 30 days unless stated otherwise. Prices may change based on project complexity, additional revisions, or changes requested after project initiation.
Any cost estimators, budget calculators, or online forms provided on our website are approximate and do not constitute a binding offer. Final pricing will be confirmed after a detailed project consultation.
4. Payment Terms
- Payments are due according to the schedule stated in the contract or invoice.
- Late payments may result in a 1% monthly late fee or suspension of services.
- For larger projects, a deposit may be required before work begins.
All payments are non-refundable once services have been delivered or substantial work has been completed.
5. Intellectual Property & AI-Generated Assets
Client Ownership: Upon full payment, clients receive ownership or perpetual usage rights for final deliverables created specifically for them, as defined in the agreement.
Polyvalent Ownership: We retain ownership of all reusable frameworks, codebases, design templates, motion graphics, or AI-generated assets developed as part of our internal workflows. These components may be reused in future projects to ensure efficiency and consistency.
AI-Generated Materials: Images, videos, or text generated with AI tools (e.g., Midjourney, Creatomate, OpenAI) are used in compliance with their respective licenses. Polyvalent ensures commercial usage rights and originality where applicable but does not warrant exclusivity over AI-generated elements.
6. Automation, Integration & API Services
When Polyvalent develops or configures API integrations, automations, or scripts for third-party platforms (e.g., Google Apps Script, Articulate Rise, Creatomate, or Plainly), the client is responsible for maintaining valid third-party licenses and accounts. Polyvalent is not liable for downtime, service changes, or limitations caused by third-party platforms.
7. Software Licensing & Usage Rights
This applies to all software products, simulators, and visualization tools developed by Polyvalent.
License Grant: Clients receive a non-exclusive, non-transferable license to use the software or simulator solely for the purposes defined in their agreement.
Restrictions: Clients may not copy, redistribute, resell, or reverse engineer the software, templates, or code without written authorization.
Maintenance & Updates: Updates, patches, or feature extensions are only provided if explicitly included in the service contract or support agreement.
Time-Limited or Subscription Models: Continued usage beyond the agreed license period requires renewal. Polyvalent reserves the right to revoke access upon non-renewal or breach of terms.
8. Content Accuracy & Representations
Visualizations, simulations, or training scenarios developed by Polyvalent are for representational or educational purposes only. While we strive for accuracy, we make no warranty that simulated results or data reflect real-world performance or measurements. Clients are responsible for validating technical or factual accuracy before public use.
9. Liability & Warranties
Polyvalent provides services “as is,” ensuring reasonable quality, accuracy, and functionality according to the agreed scope. We do not guarantee uninterrupted or error-free operation of AI systems, automation tools, or third-party integrations. Polyvalent is not liable for indirect, consequential, or data-related damages arising from their use.
10. Marketing & Portfolio Display
Unless otherwise agreed in writing, Polyvalent reserves the right to display project visuals, anonymized data, and non-confidential deliverables in its portfolio, website, or marketing materials. Sensitive information or proprietary content will not be disclosed without explicit consent.
11. Confidentiality
We treat all client information and project details as confidential. We will not disclose or share your information with third parties except as required to deliver the agreed services or as required by law.
12. Cancellation & Termination
Either party may terminate a project with written notice if the other party breaches these Terms. If you cancel before completion, you will be invoiced for all work done up to the cancellation date.
13. Governing Law
These Terms are governed by the laws of Romania and the European Union. Any disputes will be resolved in the competent courts of Romania.
14. Updates to These Terms
We may update these Terms & Conditions at any time. The latest version will always be posted on this page. Continued use of our services implies acceptance of any changes.
